1. (Special Resolution) That it has been proved to the satisfaction of this meeting that the Company cannot be reason of its liabilities, continue its business, and that it is advisable to wind-up the same, and accordingly that the Company be wound up voluntarily.

2. (Ordinary Resolution) That Leigh Holmes (IP Number 9390) and Susan Purnell (IP Number 9386) of Purnells, Goldfields House, 18A Gold Tops, Newport, South Wales, NP20 4PH be and are hereby nominated Joint Liquidators for the purpose of the winding up.
