""That the Company cannot, by reason of its liabilities, continue its business, and it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that Conrad Alexander Pearson (IP No. 014732) and Julien Robert Irving (IP No. 13092) both of Mazars LLP, One St Peter's Square, Manchester, M2 3DE be and they are hereby appointed Joint Liquidators for the purpose of such winding- up and that they be authorised to act jointly and severally."
