By a Written Resolution of the members of the above named company the subjoined resolution, was passed on 28 October 2020, viz:-

SPECIAL RESOLUTIONS

1 THAT the Company be wound-up voluntarily and Malcolm Cohen (officeholder number: 6825) of BDO LLP, 55 Baker Street, London, W1U 7EU and Lee Causer (officeholder number: 14112) of BDO LLP, Two Snowhill, Snow Hill Queensway, Birmingham, B4 6GA, be appointed Joint Liquidators for the purposes of such winding-up, and are to act jointly and severally.

2 THAT the Joint Liquidators be authorised to distribute all or part of the assets in specie to the shareholders in such proportion as they mutually agree.

ORDINARY RESOLUTION

1 THAT in accordance with Rule 18.16 of the Insolvency (England and Wales) Rules 2016 the remuneration of the Joint Liquidators be fixed by reference to the time properly given by the Joint Liquidators and their staff in attending to matters arising in the winding up (pre and post appointment), without further resolution from the members.
