At a General Meeting of the above named Company, duly convened, and held at 11.15 am on 2 December 2019 at 30 St. Paul's Square, Birmingham B3 1QZ, the following resolutions were duly passed, viz:-

SPECIAL RESOLUTION

1. 'That the Company be wound up voluntarily.'

ORDINARY RESOLUTION

2. 'That Matthew Douglas Hardy, Licensed Insolvency Practitioner, of Poppleton & Appleby, 30 St. Paul's Square, Birmingham B3 1QZ, be and is hereby appointed Liquidator of the Company for the purpose of such winding-up.'

SPECIAL RESOLUTION

3. 'That the Liquidator be and is hereby authorised to:-

(a) value any assets and determine how the division shall be carried out as between the Members or different classes of Members and;

(b) divide among the Members of the Company in specie the whole or any part of the assets of the Company.'
