Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, I, the undersigned being the member of the above Company for the time being having a right to attend and vote at General Meetings, hereby agree to the passing of the following written resolutions of the members as a Special Resolution and an Ordinary Resolution:

Circulation Date: 1 November 2019: Effective Date for deemed consent by creditors and commencement of the liquidation: 11 November 2019.

"That the Company be wound up voluntarily in accordance with Section 84(1)(b) of the Insolvency Act 1986 and that, subject to the passing of the above Special Resolution Andrew James Hawksworth (IP No. 9582) of Augusta Kent Limited, The Clocktower, St George’s Street, Canterbury, Kent, CT1 2LE be and is hereby appointed Liquidator of the Company."
