At a General Meeting of the Members of the above-named company, duly convened, and held on 12 April 2019 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively:

"That the Company be wound up voluntarily."

"That Sandra Lillian Mundy and Alan Peter Whalley (the Joint Liquidators) both of James Cowper LLP be and are hereby appointed Joint Liquidators for the purpose of winding-up the Company and that any act required or authorised under any enactment to be done by the Joint Liquidators needs to be done by both or either of them."
