At a general meeting of the above-named company, duly convened and held at CVR Global LLP, 5 Prospect House, Meridians Cross, Ocean Way, Southampton, SO14 3TJ on 17 January 2020 the following resolutions were passed as a special resolution and an ordinary resolution respectively:

"That it has been proved to the satisfaction of the meeting that the Company cannot, by reason of its liabilities, continue its business, and it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that David Elliott (IP No. 8595) and Simon Lowes (IP No. 9194) both of CVR Global LLP, 5 Prospect House, Meridians Cross, Ocean Way, Southampton, SO14 3TJ be and are hereby appointed Joint Liquidators for the purposes of such winding up. Any act required or authorised under any enactment to be done by a liquidator may be done by one of them."
