At a General Meeting of the above-named Companies convened and held at ASM (B) Limited, 4th Floor, Glendinning House, 6 Murray Street, Belfast BT1 6DN and remotely via MS Teams on 21 January 2022, the following resolutions were duly passed:

No. 1 as a Special Resolution and No. 2 as an Ordinary Resolution:

1. "That it has been proved to the satisfaction of this meeting that the companies cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same and, accordingly, that the companies resolves by special resolution that it be wound up voluntarily."

2. "That Gareth McGonigle of ASM (B) Limited, 4th Floor, Glendinning House, 6 Murray Street, Belfast BT1 6DN be and is hereby appointed liquidator of the companies for the purposes of the winding-up."
