Pursuant to Chapter 2 of Part 13 of the Companies Act 2006 the following resolutions were passed on 18 December 2019. No. 1 and No. 3 as Special Resolutions and No. 2 as an Ordinary Resolution.

1. THAT the Company be wound up voluntarily.

2. THAT Megan Wallis of Bates Weston LLP, The Mills, Canal Street, Derby, DE1 2RJ be and is hereby appointed Liquidator for the purpose of such winding up.

3. THAT in accordance with the provisions of the Company's Articles of Association the Liquidator be and is hereby authorised to distribute among the Members in specie all or any part of the assets of the Company.
