At a general meeting of the Company, duly convened and held at the offices of Richard J Smith & Co, 24 Southernhay East, Exeter, Devon EX1 1QL on 20 February 2020, the following Resolutions were passed as a Special Resolution and as Ordinary Resolutions respectively:

"That the Company be wound up voluntarily and that Hamish Millen Adam and Samuel Adam Bailey of Richard J Smith & Co, 53 Fore Street, Ivybridge, Devon PL21 9AE be and are hereby appointed Joint Liquidators of the Company for the purposes of such winding up." It was further resolved that any act required or authorized under any enactment to be done by the Liquidator may be done by all or any one or more of the persons for the time being holding such office.
