At a General Meeting of the Members of the above-named company, duly convened and held at 30 Lisburn Rd, Belfast BT9 7EW on 25 April 2022 the following Resolutions were duly passed:

“That the Company be wound up voluntarily as a Members Voluntarily Liquidation.”

“That Ms Orla Wallace of Wallace & Company Ltd, Insurance Chambers, 403 Lisburn Road, Belfast, BT9 7EW be and is hereby appointed Liquidator for the purpose of such winding up."

“That in accordance with the provisions of the company's Articles of association, the liquidator be and is hereby authorised to divide among the members in specie all or any part of the assets of the company.

That the Liquidator is hereby authorised to pay or make an advance distribution to the members, if they consider it appropriate and prudent to do so, in an amount that they shall determine at their sole discretion, or, if in specie or in kind, of such of the assets as they shall determine in their sole discretion, in such proportions as they shall determine”
