RESOLUTION

THAT it has been proved to the satisfaction of the members that the company cannot be reason of its liabilities continue its business, and that it is advisable to wind up the company and, accordingly, the company be wound up voluntarily,and that Kerry Bailey, authorised insolvency Practitioner of BDO LLP, 3 Hardman Street, Manchester M3 3AT and Sarah M Rayment, Authorised Insolvency Practitioner of BDO LLP, 55 Baker Street, London W1U 7EU, are hereby appointed Joint Liquidators for the purposes of such winding up, and are to act jointly and severally.
