Pursuant to Chapter 2 of Part 13 of the Companies Act 2000, I the undersigned, being the member of the above Company who on 23 July 2018, for the time being having a right to attend and vote at General Meetings, hereby passed the following resolutions as a Special Resolution and as an Ordinary Resolution respectively:

"That the Company be wound up voluntarily in accordance with Section 84(1)(b) of the Insolvency Act 1986 and that, Andrew James Hawksworth (IP No. 9582) of Augusta Kent Limited, The Clocktower, St George’s Street, Canterbury, Kent, CT1 2LE be and is hereby appointed Liquidator of the Company."
