At a General Meeting of the above-named Company, duly convened, and held at FRP Advisory LLP, Suite 5, Bulman House, Regent Centre, Gosforth, Newcastle upon Tyne, NE3 3LS on 5 June 2018 at 3.30 pm, the following resolutions were duly passed as a Special Resolution and as Ordinary Resolutions respectively:

"That the Company be wound up voluntarily and that Gordon Smythe Goldie (IP No. 5799) and Andrew David Haslam (IP No. 9551) both of FRP Advisory LLP, Suite 5, 2nd Floor, Bulman House, Regent Centre, Gosforth, Newcastle upon Tyne, NE3 3LS be and are hereby appointed Liquidators for the purposes of such winding up of and that anything required or authorised to be done by the Liquidators be done by both or either of them."
