Notice is hereby given, pursuant to Rule 15.13 of the Insolvency (England and Wales) Rules 2016, that the Liquidator of the above-named Company is seeking a decision from creditors on to agree the basis of his remuneration and ancillary matters by way of a physical meeting to be held as a virtual meeting under the current Covid-19 restrictions.

This follows a request for a requisitioned decision from one or more creditors under Section 246ZE of the Insolvency Act 1986.

This is a physical (virtual) meeting to be held by video conference (Zoom) on 13 May 2021 at 11.00am. Creditors wishing to participate in the meeting can obtain details on how they or their representative may access the meeting from the Liquidator who will act as the Convenor and Chair of the Meeting. Creditors who remotely attend the Virtual Meeting will be provided the ability to exercise any rights that they may have to speak and vote at the meeting.

As a result of the requirement to hold this physical (virtual) meeting the original decision procedure is superseded.

I will require creditors or their representatives attending the meeting to register by no later than 4pm on the business day before the date of the scheduled meeting. This is to comply with my obligations to identify any creditor or their representatives remotely attending the Virtual Meeting and to ensure the security of the Virtual Meeting.

I can confirm that the resolutions being sought are the same as previously circulated.

A creditor may appoint a person as a proxy-holder to act as their representative and to speak, vote, abstain or propose resolutions at the meeting. A proxy for a specific meeting must be delivered to the chair before the meeting. A continuing proxy must be delivered to the Liquidator and may be exercised at any meeting which begins after the proxy is delivered. In order to be counted a creditor’s vote must be accompanied by a proof in respect of the creditor’s claim (unless it has already been given). A vote will be disregarded if a creditor’s proof in respect of their claim is not received by 4pm on the business day before the meeting date (unless the chair of the meeting is content to accept the proof later). A creditor who has opted out from receiving notices may nevertheless vote if the creditor provides a proof of debt in the requisite time frame.
