By a Written Resolution of the members of the Company the subjoined resolution, was passed on 31 March 2020, viz;

SPECIAL RESOLUTION

1. THAT the Company be wound-up voluntarily under section 84(1)(b) of the Insolvency Act 1986.

ORDINARY RESOLUTION

2. THAT Malcolm Cohen (officeholder number: 6825) of BDO LLP, 55 Baker Street, London, W1U 7EU and Lee Causer (officeholder number: 14112) of BDO LLP, Two Snowhill, Snow Hill, Queensway, Birmingham, B4 6GA, be appointed Joint Liquidators for the purpose of winding up the company's affairs and distributing its assets and that they are to act jointly and severally.

SPECIAL RESOLUTION

3. THAT the Joint Liquidators be authorised to distribute to the shareholder, in specie, all or any part of the assets of the Company.

ORDINARY RESOLUTION

4. THAT the Joint Liquidators' remuneration for dealing with the matters arising in the liquidation will be based on time costs as set out in the letter of engagement plus VAT and disbursements.
