At a General Meeting of the Shareholders of the above-named Company, duly convened, and held on 2 February 2022, the following Resolutions were duly passed as a Special Resolution and as an Ordinary Resolution respectively:

“That the Company be wound up voluntarily, and that Asher Miller (IP No. 9251) and Stephen Katz (IP No. 8681) both of Begbies Traynor (London) LLP, Pearl Assurance House, 319 Ballards Lane, Finchley, London N12 8LY be appointed as Joint Liquidators of the Company, for the purposes of winding-up the Company's affairs and distributing its assets and that they may jointly or severally exercise any power conferred on them by law or by this resolution and may jointly or severally do any act required or authorised under any enactment to be done by them.”
