NOTICE IS HEREBY GIVEN THAT, pursuant to Section 100 of the Insolvency Act 1986 and Rules 6.14, 15.8 and 15.13 of the Insolvency (England and Wales) Rules 2016 that a virtual meeting of creditors of Umbrella Investments Limited (“the Company”) has been summoned by Chousein Chatzi Memis (“the Convener”), a director of the company in accordance with resolutions passed by the Board of Directors.

A resolution to wind up the company is to be considered by shareholders on 5 February 2020, prior to the virtual meeting of creditors.

The virtual meeting of creditors will be held on 5 February 2020 at 3.30 pm, via conference call. If creditors wish to participate, please contact Ashcrofts by telephone on 020 8556 2888 by 4 pm at least one business day before the virtual meeting and creditors will be provided with the dial-in telephone number and access code.

The resolutions to be taken at the virtual meeting are: the nomination of a Liquidator(s) by creditors, invitation to creditors to appoint a liquidation committee and if no committee is appointed, to consider a resolution fixing the basis of the Liquidator(s) remuneration, and the attendees of the virtual meeting may also receive information about, and be called upon to approve, the costs of preparing the Statement of Affairs and convening the virtual meeting.

A completed proof of debt form (if a creditor has not already lodged one) must be lodged with Ashcrofts no later than 4.00 pm on the business day before the virtual meeting and a completed proxy prior to the virtual meeting to entitle a creditor to vote by proxy at the meeting.

It is proposed that Harjinder Johal (IP No. 9175) and George Michael (IP No. 9230) both of Ashcrofts, 601 High Road Leytonstone, London E11 4PA be appointed Joint Liquidators of the Company.

Harjinder Johal and George Michael, being persons qualified to act as Insolvency Practitioners in relation to the above company, will furnish creditors, free of charge, such information concerning the company’s affairs as they may reasonable require during the period prior to the virtual meeting of creditors.
