RESOLUTION

THAT it has been proved to the satisfaction of this meeting that it is advisable to wind up the Company and, accordingly, the Company be wound up voluntarily, and that Danny Dartnaill and Martha Thompson, authorised Insolvency Practitioners, of BDO LLP, Level 12, Thames Tower, Station Road, Reading, Berkshire RG1 1LX, are hereby appointed Joint Liquidators for the purposes of such winding up, and are to act jointly and severally.
