At a General Meeting of the above named Company, duly convened and held at 1 Baker's Yard, London, EC1R 3DD on 24 October 2017, the following Resolutions were passed as a Special Resolution and as an Ordinary Resolution:

“That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that Ian Yerrill (IP No. 8924) of Yerrill Murphy, Gateway House, Highpoint Business Village, Henwood, Ashford, Kent, TN24 8DH and Colin Hardman (IP No. 16774) of Smith & Williamson LLP, 25 Moorgate, London, EC2R 6AY be and are hereby appointed as Joint Liquidators for the purpose of such voluntary winding up.”
