Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the directors of the Company propose that the resolutions below are passed as special and ordinary resolutions (“Resolutions").

SPECIAL RESOLUTIONS

“That the Company be wound-up voluntarily under section 84(1) (b) of the Insolvency Act 1986.”

ORDINARY RESOLUTIONS

“That pursuant to Sections 84(1) and 91 of the Insolvency Act 1986 Eileen Blackburn, of French Duncan Restructuring and Debt Advisory, 56 Palmerston Place, Edinburgh, EH12 5AY (IP No 8605) be appointed Liquidator of the Company for the purposes of winding up the Company’s affairs and distributing its assets.”

“That the Liquidator’s remuneration be based on time spent on the case and charged at normal insolvency rates as approved by the Members to be drawn as and when funds are available.”
