"That the Company cannot, by reason of its liabilities, continue its business, and it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that David Thorniley (IP No. 8307) of Traverse Advisory Limited, Spa House, 18 Upper Grosvenor Road, Tunbridge Wells, Kent, TN1 2EP be appointed as Liquidator for the purposes of such voluntary winding up."
