At a general meeting of the Company, duly convened and held at Richard J Smith & Co, Norfolk House, 16 Lemon Street, Truro, Cornwall TR1 2LS on 22 December 2020, the following Resolutions were passed as a Special Resolution and an Ordinary Resolution respectively:

"That the Company be wound up voluntarily and that Hamish Millen Adam and Samuel Adam Bailey of Richard J Smith & Co, 53 Fore Street, lvybridge, Devon PL21 9AE, be and are hereby appointed Joint Liquidators of the Company for the purposes of such winding up." It was further resolved that any act required or authorized under any enactment to be done by the Liquidator may be done by all or any one or more of the persons for the time being holding such office.
