At a General Meeting of the above named company, duly convened, and held at 168 Greenside Lane, Droylesden, Manchester M43 7UT the following resolutions were duly passed.

As Special Resolutions:

"That the company be wound up voluntarily and that a Liquidator be appointed for the purposes of the winding-up."

"That, if necessary and appropriate, the Articles of Association of the company be amended to permit the distribution of the whole or any part of the assets of the company in specie or in kind, and that the liquidator be and is hereby authorised to divide and distribute amongst the members, in specie or in kind, the whole or any part of the assets of the company, and to determine how such division and distribution shall be carried out as between the members."

"That the Liquidator be and is hereby authorised to pay or make an advance distribution to the members, if he considers it appropriate and prudent to do so, in an amount that he shall determine at his sole discretion, or, if in specie or in kind, of such of the assets as he shall determine in his sole discretion, in such proportions as he shall determine."

As Ordinary Resolutions:

"That Margaret Carter of Greenfield Recovery Limited, Trinity House, 28-30 Blucher Street, Birmingham B1 1QH be and is hereby appointed Liquidator of the company."

"That the Liquidators fees and disbursements be fixed at ÂŁ5,000.00 Plus VAT inclusive of disbursements together with any out of pocket expenses incurred, and may be drawn on account."
