"That the Company cannot, by reason of it liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that Conrad Alexander Pearson (IP No. 014732) and Patrick Alexander Lannagan (IP No. 009590) both of Mazars LLP, One St Peters Square, Manchester, M2 3DE be appointed as Joint Liquidators for the purposes of such voluntary winding-up."
