I, Frances Sarah Phillips of The Rubbish Fashion Company Limited, 1st Floor, Gallery Court, 28 Arcadia Avenue, London, N3 2FG give notice under Rule 22.4 of the Insolvency Act and confirm that the assets of Tobefrank Ltd - In Liquidation, company number 09074156 - have been purchased by The Rubbish Fashion Company Limited, company number 13199009. Tobefrank Ltd commenced liquidation on 16 March 2021 and the assets were purchased from the Liquidator. The former trading style included TBF and Tobefrank.

These include the trading styles known as Tobefrank and there is no transfer of any liability from Tobefrank Limited to The Rubbish Fashion Company Limited and no intended association between the actions of the former director of Tobefrank Ltd, who was a director of Tobefrank Ltd within 12 months prior to the date of liquidation and being Frances Sarah Phillips and The Rubbish Fashion Company Limited.

Permission has been given for the re-use of the former trading styles of Tobefrank Ltd as a part of the purchase, but The Rubbish Fashion Company Limited is a separate legal entity to Tobefrank Ltd and I intend to act pursuant to Section 216(3) of the Insolvency Act in all ways necessary for the management of The Rubbish Fashion Company Limited, in a way of carrying on the whole or substantially the whole of the former business or Tobefrank Ltd, now an insolvent company.

Statement of the effect of the Notice under Rule 22.4(2)

This notice is intended to permit Frances Sarah Phillips to act as a director of The Rubbish Fashion Company Limited without incurring personal liability for the debts of The Rubbish Fashion Company Limited.
