"That it has been proved to the satisfaction of this meeting that it is advisable to wind up the company and, accordingly, the company be wound up voluntarily and that Edward T Kerr (IP No. 9021) and Francis Graham Newton (IP No. 9310) both of BDO LLP, Pannell House, 159 Charles Street, Leicester, LE1 1LD are appointed Joint Liquidators for the purposes of such winding up, and are to act jointly and severally."
