At a General Meeting of the above named Company duly convened and held on 29 October 2019 at 12.00 noon the following resolutions were duly passed as a special and an ordinary resolution, respectively:

“That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same and, accordingly, that the company be wound up voluntarily and that Steven Muncaster (IP No. 9446) and Sarah Helen Bell (IP No. 9406) both of Duff & Phelps Ltd, The Chancery, 58 Spring Gardens, Manchester, M2 1EW be and are hereby appointed joint liquidators of the Company for the purposes of the winding-up.”
