At a general meeting of the Company, duly convened and held at Offices of Richard J Smith & Co, 24 Southernhay East, Exeter, EX1 1QL on 7 June 2022, the following Resolutions were passed as a Special Resolution and an Ordinary Resolution respectively:

"That the Company be wound up voluntarily and that Hamish Millen Adam and Jonathan David Trembath of Richard J Smith & Co, 53 Fore Street, lvybridge, Devon, PL21 9AE, be and are hereby appointed Joint Liquidators of the Company for the purposes of such winding up." It was further resolved that any act required or authorised under any enactment to be done by the Liquidator may be done by all or any one or more of the persons for the time being holding such office.
