The following Written Resolutions were passed pursuant to the provisions of section 288 of the Companies Act 2006 as a Special Resolution (a) and Ordinary Resolutions (b) and (c) respectively:

a) That the Company be wound up voluntarily.

b) That Ryan Davies and Ian Robert of Kingston Smith & Partners LLP, Devonshire House, 60 Goswell Road, London EC1M 7AD, be appointed Joint Liquidators of the Company for the purpose of the voluntary winding-up.

c) That the Joint Liquidators be authorised to act jointly and severally in the Liquidation.
