Resolutions

1. "That the Company be wound up voluntarily."

2. "That Licensed Insolvency Practitioners, William Thomson Mercer Cleghorn and Emma Sarah Louise Porter, both of Aver, Chartered Accountants, 21 York Place, Edinburgh EH1 3EN, be appointed as Joint Liquidators of the Company and that they act jointly and severally."

3. "That the Joint Liquidators be authorised to pay unsecured creditors in full."

4. "That the Joint Liquidators be authorised to distribute any of the Company's assets in specie."

5. "That the Joint Liquidators fees will be in accordance with the signed engagement letter."
