By a Written Resolution of the members of the Company the subjoined resolution, was passed on 2 July 2020, viz:-

SPECIAL RESOLUTIONS

1 THAT the Company be wound-up voluntarily and Malcolm Cohen (officeholder number: 6825) of BDO LLP, 55 Baker Street, London, W1U 7EU and Lee Causer (officeholder number: 14112) of BDO LLP, Two Snowhill, Birmingham, B4 6GA be appointed Joint Liquidators for the purposes of such winding-up, and are to act jointly and severally.

2 THAT the Joint Liquidators be authorised to distribute all or part of the assets in specie to the shareholders in such proportion as they mutually agree.

ORDINARY RESOLUTION

1 THAT the Joint Liquidators' fees are to be paid on a time costs basis plus disbursements and VAT, and are to be drawn from the funds realised in the Liquidation.
