It was agreed that formal notice be waived. On consideration of the notice, the following special and ordinary resolutions be considered and if thought fit, passed:

"That upon swearing a Declaration of Solvency, it has been proved to the satisfaction of this meeting that the Company is wound up under a Members' Voluntary Liquidation procedure and that Matthew Thomas Colbourne Frayne (IP No. 9158) of Fraser Frayne Insolvency Practitioners Ltd, Old Canal Cottage, Dunkerton, Bath, Somerset, BA2 8BS be appointed Liquidator for the purposes of the voluntary winding up of the Company."
