Members of the above-named company, passed written resolutions on 24 May 2018 the following Resolutions were duly passed, as Special Resolutions:

1. A Special Resolution that "the Company be wound up voluntarily and that Sandra Lillian Mundy and Alan Peter Whalley of James Cowper Kreston, be appointed liquidators of the Company for the purposes of the voluntary winding-up of the Company's affairs and distributing the assets. Any act required or authorised under any enactment to be done by the liquidator may be done by one or more of the persons for the time being holding the office of liquidator."

2. A Special Resolution that "the liquidators be authorised to pay all creditors in full."

3. A Special Resolution that "the liquidators be authorised to distribute assets in specie as appropriate."
