At a General Meeting of the Members of the above-named company, duly convened, and held on 18 March 2019, the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution:

Special Resolution:

That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its current/or impending liabilities continue its business, and that it is advisable to wind up the same under an insolvent winding up procedure.

Ordinary Resolution:

That Philip Ballard and Sajid Sattar of Greenfield Recovery Limited, Trinity House, 28-30 Blucher Street, Birmingham B1 1QH be appointed as Joint Liquidators for the purposes of such voluntary winding up.
