The following Written Resolutions were passed pursuant to the provisions of section 288 of the Companies Act 2006 as a Special and Ordinary Resolution respectively:

“That the Company be wound up voluntarily,

and that Gordon Johnston and Shane Biddlecombe of Fortus Recovery Limited, Grove House, Meridians Cross, Ocean Village, Southampton, SO14 3TJ, be appointed as Joint Liquidators of the Company for the purposes of such winding up. Where applicable, any act required or authorised under any enactment to be done by a Joint Liquidator may be done by all or any persons for the time being holding such office.”
