NOTICE IS GIVEN that at a General Meeting of the above-named Company, duly convened and held at Ajax Works, Whitehill, Stockport, SK4 1NT on 6 July 2022 the following resolutions were passed as Special resolutions and Ordinary resolutions respectively:

1. That the Company be wound up voluntarily and

2. That Nicola Joanne .Meadows and Martin Frederick Peter Smith be appointed as Joint Liquidators of the Company and that they be authorised to act either jointly or separately and

3. That the Joint Liquidators shall distribute in accordance with the Reconstruction Agreement dated 6 July 2022 and

4. That the Joint Liquidators are authorised to act in accordance with s110 of the Insolvency Act 1986 and are authorised to enter into the Reconstruction Agreement.
