At a general meeting of the Members of the above-named Company, duly convened, and held remotely on 20 December 2019, the following resolutions were passed: 1 and 3 as Special resolutions and 2 as an Ordinary resolution.

Resolutions

1. "That the Company be wound up voluntarily" and

2. "That Christopher David Horner of Robson Scott Associates Ltd, 47-49 Duke Street, Darlington, County Durham DL3 7SD, be appointed Liquidator of the Company" and

3. "That the Liquidator be authorised to distribute any of the Company's assets in specie"
