“That it has been proved to the satisfaction of the sole member that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same and, accordingly, that the Company be wound up voluntarily and that Paul Williams (IP No. 9294) and Mark Skelton (IP No. 13432) both of Duff & Phelps Ltd, The Shard, 32 London Bridge Street, London, SE1 9SG are hereby appointed as Joint Liquidators of the Company for the purposes of the winding-up and that they act jointly and severally.”
