RESOLUTION

THAT is has been proved to the satisfaction of this meeting that it is advisable to wind up the company and, accordingly, the company be wound up voluntarily, and that Kerry Bailey and Lee Causer, Authorised Insolvency Practitioners, of BDO LLP, 3 Hardman Street, Manchester M3 3AT, are hereby appointed Joint Liquidators for the purposes of such winding up, and are to act jointly and severally.
