Pursuant to Section 283 of the Companies Act 2006, the following written resolutions were passed on 31 October 2019 as a Special Resolution and an Ordinary Resolution respectively:

“That the Company be wound-up voluntarily and that Henry Lan (IP No. 8188) and David Rubin (IP No. 2591) both of David Rubin & Partners, Pearl Assurance House, 319 Ballards Lane, London N12 8LY be and are hereby appointed Joint Liquidators for the purpose of such winding-up. The Joint Liquidators are to act jointly and severally in the exercising of any and all functions exercisable by a Liquidator appointed under the provisions of the Insolvency Act 1986."
