At a General Meeting of the above-named company duly convened and held at Wester Blairfoid, Fortrose, Ross-shire, IV10 8RA on 20 December 2021 the following Resolutions were du;y passed as a Special Resolution and as an Ordinary Resolution: 

“That it has been proved to the satisfaction of the Meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up same and accordingly that the company be wound up voluntarily, effective as at 12:00 noon on 20 December 2021 and that Richard Gardiner, of Thomson Cooper, 3 Castle Court, Carnegie Campus, Dunfermline KY11 8PB, (IP No: 9488) be appointed Liquidator of the company for the purposes of the winding-up.”
