At a General Meeting of the Members of the above-named company, duly convened, and held on 19 September 2018 the following Resolutions were duly passed, number one as a Special Resolution and number two as an Ordinary Resolution:

1 - 'That it has been proved to the satisfaction of this meeting that the company cannot, by reason of its liabilities, continue its business and that it is advisable to wind-up the same and THAT accordingly the company be wound up voluntarily in accordance with the Insolvency Act 1986 and the Insolvency Rules 2016'

2 – ‘That Brian Hegarty of HCA Business Recovery Limited be and is hereby appointed Liquidator of the company’
