I, the undersigned, being a Member of the Company, entitled to receive notice of and to attend and vote at Members' Meetings pursuant to Chapter 2 of Part 13 of the Companies Act 2006, hereby pass the following Written Resolutions, on 21 December 2020 which for all purposes shall be as valid and effective as if the same had been passed at a Members' Meeting of the Company duly convened and held:

"That the Company be wound up voluntarily and that Jeffrey Mark Brenner of B&C Associates Limited, Concorde Houe, Grenville Place, Mill Hill, London, NW7 3SA (IP No 9301), be appointed Liquidator of the Company for the purpose of the voluntary winding up."

At a subsequent meeting held on 21 December 2020, the appointments of Jo Watts and Andrew McTear of McTear Williams & Wood Limited was confirmed by the creditors, and Jeffrey Mark Brenner of B&C Associates Ltd was given his release.
