Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the following resolutions were passed on 07 April 2016, as Special Resolutions:

“That the Company be wound up voluntarily under Section 84(1)(b) of the Insolvency Act 1986 and that Gordon Malcolm MacLure, of Johnston Carmichael LLP, Bishop’s Court, 29 Albyn Place, Aberdeen, AB10 1YL, (IP No. 8201) be appointed to act as Liquidator of the Company for the purpose of winding up the Company’s affairs and distributing its assets and that the Liquidator be authorised to divide and distribute all or such part of the assets of the Company as he thinks fit in specie or kind to the members of the Company.”
