Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the following resolutions were passed by the members of the Company on 14 January 2021 as Special and Ordinary Written Resolutions:

"That the Company be wound up voluntarily and that Gareth David Wilcox (IP No. 21052) and Timothy John Edward Dolder (IP No. 9008) both of Opus Restructuring LLP, 1 Radian Court, Knowlhill, Milton Keynes, MK5 8PJ be and are hereby appointed Joint Liquidators of the Company and they be empowered to act jointly or severally in matters relating to the winding-up."
