Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the sole member of the Company who (at the date of these resolutions) would have been entitled to vote upon the resolutions set out below had they been proposed at a general meeting of the Company at which they were present, hereby passed the following resolutions as written resolutions on 27 September 2021 :

"That the Company be wound up voluntarily under section 84(1)(b) of the Insolvency Act 1986 and that Ian Harvey Dean (IP No. 009462) and Stephen Roland Browne (IP No. 009281) both of Teneo Restructuring Limited, 60 St Martin’s Lane, London, WC2N 4JS be appointed as Joint Liquidators of the Company, for the purpose of winding up the Company's affairs and distributing its assets (together the "Joint Liquidators")."
