In Members’ Voluntary Liquidation

On 04 February 2021 the following written resolutions of Sequel Legacy Ltd were passed. The first being a special resolution and the second being an ordinary resolution.

1. “That the Company be wound up voluntarily under section Article 70(1)(b) of the Insolvency (Northern Ireland) Order 1989 (“Insolvency Order”) and implementation of the arrangement (the detailed terms of which are set out in a reconstruction agreement (the “Reconstruction Agreement”) to be entered into by the Company on or around the date of this resolution) be approved, in accordance with section Article 96 of the Insolvency Order.”

2. “That Seamas Keating of PKF-FPM Accountants Limited, 1- 3 Arthur Street, Belfast, Co Antrim, BT1 4GA, be and is hereby appointed Liquidator for the purposes of the voluntary winding-up.”
