At a General meeting of the above named Company, duly convened and held at 320 Firecrest Court Centre Park, Warrington, WA1 1RG on 27 January 2022, the following resolutions were duly passed as a Special Resolution and an Ordinary Resolution respectively:

"That the Company be wound up voluntarily and that Richard Hunt (IP No. 21772) of SFP Restructuring Limited, 9 Ensign House, Admirals Way, Marsh Wall, London E14 9XQ be, and is hereby, appointed Liquidator of the Company for the purpose of the winding-up."

A decision confirming the appointment of the Liquidator was made by deemed consent on the same day.
