Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the directors of the Company propose that on 08 February 2019 the following written Resolutions were passed, as a Special Resolution and as an Ordinary Resolution respectively:

“That it has been proved to the satisfaction of the Meeting that the Company is insolvent and that is is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Kenneth Pattullo, of Begbies Traynor (Central) LLP, Finlay House, 10-14 West Nile Street, Glasgow, G1 2PP, (IP No. 008368), be and is hereby appointed Liquidator of the Company for the purpose of such winding-up.” At a subsequent meeting, Kenneth Pattullo was given his release and Paul Dounis was appointed Liquidator.
